1. Introduction

1.1. These Terms and Conditions constitute a legally binding agreement (“Agreement”) made between you (the “User”) and Microtalk Europe Ltd, a private limited company incorporated and registered in England and having its registered office at Riverbank house, 1 Putney Bridge Approach, London SW6 3JD (“Microtalk”, “we” or “us”), concerning your purchase of an international data plan (“Data Plan”) relating to a prepaid eSIM (an “eSIM”), for use on your personal device (“Device”), from Microtalk (the “Service”).

1.2. Future agreements between the User and Microtalk may in addition be subject to supplemental terms and conditions or documents that may be posted on our website.

1.3. We recommend that you print a copy of these Terms and Conditions for future reference.

2. Registration

2.1. The User may register to purchase an eSIM through our Partners (“Third Parties”). The User must accept the Terms of Use to register and purchase an eSIM. Links to Microtalk’s Privacy Policy and Cookies Policy are emailed to the User when the User registers to purchase an eSIM.

3. Purchase of an eSIM and Activation

3.1. If you purchase an eSIM from us you enter into an agreement with us for the purchase of the eSIM and agree to pay to us all applicable charges in accordance with the Data Plan for the eSIM purchased.

3.2. You will be responsible for the eSIM as soon as it is made available to you. If you damage or lose your Device before you have paid for the eSIM in full, you will still be required to pay us the full price of the eSIM.

3.3. If you purchase an eSIM from a Third Party, you enter into an agreement with that Third Party for the purchase of the eSIM and Microtalk is not a party to such an agreement.

3.4. Microtalk shall make available Data Plans which relate to specific countries and reserves the right to restrict availability in some jurisdictions.

3.5. By availing of the Service, the User acknowledges that they have an unlocked, eSIM-compatible Device.

4. Duration and Termination

4.1. This Agreement shall commence once you purchase the eSIM. After download and activation, the eSIM may remain on your Device after the Data Plan has expired.

4.2. The duration of this Agreement will be until the Data Plan has expired or credit has been expended.

4.3. This Agreement will terminate immediately upon:

• Consumption or expiry of the Data Plan; or
• Suspension by Microtalk for breach of these Terms.

4.4. Upon termination, any undeleted eSIM shall be provided on an “as is” basis without warranty.

5. Warranty

5.1. These Terms are in addition to statutory consumer rights.

5.2. Microtalk gives no warranty in relation to the eSIM or Service and excludes all implied warranties to the extent permitted by law.

5.3. Microtalk reserves the right to discontinue sale or support of any eSIM at any time.

6. Service Availability

6.1. We shall take commercially reasonable steps to make the Service available at all times.

6.2. “Unlimited” Data Plans may be subject to a network fair use policy.

6.3. We do not guarantee network capacity, quality or availability where factors are outside our control.

7. User Obligations

• 7.1.1. Use the eSIM in compliance with these Terms;
• 7.1.2. Use in accordance with all applicable laws;
• 7.1.3. Not engage in fraudulent or illegal activity;
• 7.1.4. Not copy or distribute our commercial information;
• 7.1.5. Not breach third-party intellectual property rights.

7.2. Microtalk may suspend the Service in the case of breach.

8. Payment Terms

8.1. All eSIMs are prepaid and prices are inclusive of Indirect Tax unless specified otherwise.

8.2. The User may save or delete payment method information at any time.

9. Legal Right of Withdrawal

9.1. Consumers have the right to withdraw within 14 days, or if earlier up to activation and partial consumption, in which case a proportionate refund may be provided.

10. Intellectual Property Rights

10.1. All Content and Marks are owned or licensed by Microtalk and protected by law.

10.2. No part may be copied for commercial purpose without prior written permission.

11. Data Protection

11.1. By purchasing an eSIM you acknowledge we will process Personal Data in order to deliver and improve the Service.

12. Indemnity

12.1. The User agrees to indemnify Microtalk against all losses arising from breach of these Terms.

13. Governing Law and Legal Compliance

13.1. These Terms and any dispute arising shall be governed by UK law and subject to the exclusive jurisdiction of UK Courts.

14. General

14.1. This Agreement is drafted in English and the English version shall prevail over translations.
